This Event Contract (the “Agreement”) shall govern the use and rental of the Rocket Farm Restaurants, LLC (“Rocket Farm Restaurants”) venue at which the Client, noted herein on the Banquet Event Order (“BEO”), shall hold the Event. This Agreement shall include the terms and conditions of the applicable BEO to the Event. This Agreement and the BEO shall be incorporated by reference into the other and together shall form the contractual agreement governing the relationship between the Client and Rocket Farm Restaurants.

1. CONFIRMATION The Client shall provide confirmation of the number of guests attending the Event and menu selections no later than 48 hours for pick up orders, or 72 hours for delivery orders prior to the Event. Late additions or changes to the confirmation shall not be considered part of the original Event as stipulated in the BEO. Rocket Farm Restaurants may use reasonable efforts to accommodate late additions and changes but shall have no obligation to do so. Rocket Farm Restaurants shall accommodate such late additions and changes as it determines in its sole discretion. All charges applied to the Event shall be based on the confirmed number of guests or the actual number of guests as accommodated by Rocket Farm Restaurants, whichever is greater. Any late additions or changes accommodated by Rocket Farm Restaurants shall be subject to a 20% menu price surcharge.

2. PAYMENT The Client shall provide a credit card upon which all charges incurred under this Agreement and the BEO may be charged. For events from 1-99 guests, final payment will be charged no later than the conclusion of the Event. For events of 100 people and larger, payment in full is required no later than 24 hours prior to the Event. The use of any alternative credit card or form of payment must be identified on the BEO and confirmed with Rocket Farm Restaurants, prior to the Event. Rocket Farm Restaurants will not accommodate individual itemized checks for contracted events. Rocket Farm Restaurants may accept the following payment methods: credit card and cash.

*By submitting your card information, you agree to have your credit card information made available for future use by (restaurant). NOTE: This credit card will be used for final payment.

*If A different credit card will be used for final payment this card must be presented to the Event Manager 24 hours prior to the event date.

3. SERVICE CHARGES AND TAXES All food and beverage is subject to a taxable service fee, as listed in the body of the BEO, and state sales tax. Any additional miscellaneous charges for vendors or staff procured by Rocket Farm Restaurants are subject to a taxable 4% administrative fee and sales tax.

4. DEPOSITS All deposits are non-refundable and will be applied toward the total cost of the Event. 50% of the total price is required as deposit to reserve the Event date and secure the catering order.

5. PRICING Pricing is guaranteed only upon client’s signature of BEO.

6. LATE BOOKINGS Events booked within 24 hours prior to the Event date shall be required to, in the sole discretion of Rocket Farm Restaurants, either select entrée items from a limited menu or shall be provided with entrees selected by Rocket Farm Restaurants.

7. FOOD All food items served at the Event shall be procured, prepared and served by Rocket Farm Restaurants staff only. Catering menus are subject to change in the sole discretion of Rocket Farm Restaurants. Entrée selections shall be made from the then current Rocket Farm Restaurants catering menu.

8. BEVERAGE Rocket Farm Restaurants does not provide alcoholic beverages, and as a result cannot provide service for alcoholic beverages during an event.

9. FOOD AND BEVERAGE DONATIONS Food and beverage donations by third parties must be approved in writing by Rocket Farm Restaurants.

10. CHEF ATTENDANT FEES A Chef attendant is required for any action station and will be charged at $100 per Chef attendant. Such fee shall be subject to an administrative fee and state sales tax.

11. DROP OFF / STORAGE Client agrees that he/she will be available at the time and location on specified on the BEO, from no less than 30 minutes prior to the Events Team anticipated arrival to receive the food being delivered. In the event Client is not available, Client will come to the location where the order originated to pick up the food.

Client agrees to furnish adequate facilities and set-up areas for such food service.

Client assumes all liability and responsibility for use, freshness and service of food after the conclusion of the event; will properly store said food; and ensure that all such food is consumed or properly disposed of within 48 hours of delivery. Client is advised to follow guidelines for safe food handling as determined by their local ordinance, and USDA Safe Food Handling Guidelines.

The Client shall notify Rocket Farm Restaurants of any deliveries to be made in connection with the Event to the venue and all such deliveries accepted on behalf of the client shall be subject to approval by Rocket Farm Restaurants. Rocket Farm Restaurants shall direct where deliveries shall be made. All items delivered to the venue for the Event shall be removed from the venue the day of the Event. Any items remaining at the venue after the day of the Event may be disposed of by Rocket Farm Restaurants. Rocket Farm Restaurants is not responsible for any loss or damage of delivered goods.

12. EQUIPMENT RENTAL Any rentals of supplies or equipment not included in the offsite catering proposal, including but not limited to, serviceware, banquet serving tables, or linens shall be subject to an additional charge. Rocket Farm Restaurants does not provide tables/linen for service. All requests for rental of supplies or equipment owned by Rocket Farm Restaurants shall be made at least 14 days prior to the Event.

13. CHANGES TO FUNCTION SET UP Equipment and fixtures may not be removed from the event venue. Any changes to the layout and equipment placement shall be subject to approval by Rocket Farm Restaurants.

14. VENUE ACCESS Client represents and warrants that it is either (a) the owner of the Location “Owner” and has permission of any and all tenants to hold the Event at the date, time and Location provided on the BEO, or (b) has the express written permission of the Owner of said Location to hold the Event at said date, time and Location provided on the BEO.

Client shall provide and pay for all necessary utilities required by Rocket Farm Restaurants for the Event, including but not limited to, electricity, water, gas, ventilation and garbage services. Client certifies event area is on the ground floor or has access to ramp +/or elevator for load in.

15. EVENT DURATION Client shall adhere to the schedule listed on the BEO. All events must end by 10 PM unless Client has obtained prior approval from Rocket Farm Restaurants and the Event ending time is identified in the BEO.

16. CANCELLATION POLICY If the Event is canceled within 24 hours for pick up orders and delivery/full-service orders or less before the contracted Event, the contracted host will pay 50% of the subtotal due—no exceptions. For events of 100 people and larger, the contracted host will pay the full amount due if cancelled 24 hours or less before the contracted Event.

17. INDEMNIFICATION Client shall indemnify and hold harmless Rocket Farm Restaurants, its officers, employees, and affiliates from any and all claims, damages, losses, and expenses, including claims for loss or damage to property and attorney’s fees, arising out of or resulting from the use of any Rocket Farm Restaurants venue during the Event, except those claims arising out of the gross negligence or willful misconduct of Rocket Farm Restaurants employees. Such indemnification shall include any acts or omissions by any guests or vendors or third parties retained by Client to provide services at the venue. Client shall be liable for any property damage to the venue caused by the acts or omissions of any guest or vendor or third party retained by Client.

18. INSURANCE In the event that Client uses any third party vendor or contractor to provide services for the Event, Client warrants that the third party or vendor maintains adequate insurance coverage necessary to cover its acts or omissions. Rocket Farm Restaurants reserves the right to inspect such insurance policies upon request.

It is the responsibility of the client to secure general liability insurance for the Event should the Client require. Rocket Farm Restaurants is not responsible for any injury or loss to any guests, vendor or participant of the Event. Failure to secure liability insurance does not constitute a transfer of liability to Rocket Farm Restaurants.

19. DAMAGE In the event that the Rocket Farm Restaurants equipment or fixtures are lost or damaged during the Event through no fault of Rocket Farm Restaurants, Client shall be responsible for remedying such damages or loss. Rocket Farm Restaurants may make any necessary repairs or replacements and charge all associated costs to Client. Rocket Farm Restaurants may require a damage/loss deposit be provided by Client in advance of an event and will list the amount paid within the financials of the event order. Client shall promptly pay any balance for replacement or repair costs to Rocket Farm Restaurants upon request.

20. SECURITY Rocket Farm Restaurants, in its sole discretion, may require that security be provided during the Event. If security is required, such costs and expenses shall be paid by Client.

21. VALETS / PARKING ATTENDANTS Any valets or parking attendants required for the Event shall be retained by the Client and any costs and expenses related to the use of valets or parking attendants shall be paid by Client.

22. COMPLIANCE WITH LAWS AND ORDINANCES Client shall comply with all municipal, state, and federal laws and ordinances that may apply to the Event and Client’s use of the venue, as well as any Rocket Farm Restaurants rules and policies. Rocket Farm Restaurants reserves the right to remove guests from the Event for failing to comply with such laws, ordinances, rules or policies. In the event that any permits are required for the Event, Rocket Farm Restaurants may assist Client in obtaining the required permits but shall not be required to do so. Any fees for permits required for the Event shall be paid by Client.

Current Department of Health, Government, and CDC regulations are applicable to seating arrangements, as defined within the body of the BEO, including maximum seating per table, maximum gathering size, and social distancing requirements within both semi private and fully private spaces, seated and reception style events, and capacities.

23. FORCE MAJEURE Notwithstanding anything to the contrary contained in this Agreement, Rocket Farm Restaurants shall be excused from its obligations under this Agreement whenever Rocket Farm Restaurants is prevented from the performance of such obligations by any Force Majeure Event. For purposes of this Agreement, a “Force Majeure Event” shall include any one or more of the following events or circumstances that, alone or in combination, directly or indirectly, adversely affects in any material respect the Event or the operation of a Rocket Farm Restaurants venue or event: fire, utility outages, earthquake, storm or other casualty; strikes, lockouts, or other labor interruptions; war, rebellion, riots, acts of terrorism, or other civil unrest; epidemics, quarantine or any other public health restrictions or public health advisories. In the event of a Force Majeure Event, Rocket Farm Restaurants reserves the right to relocate the Event to a similar venue, in its sole discretion, but shall not be obligated to do so.

24. MEDIA Rocket Farm Restaurants reserves the right to restrict the use of any media generated using images or representations of any Rocket Farm Restaurants venue by Client, its employees, contractors, vendors, or any other third party. Such media shall include, but not be limited to, photographs, digital photographs, audio and visual recordings.

25. WAIVER OF CONTRACTUAL RIGHTS The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and compel strict compliance with every provision of this Agreement.

26. NOTICE Any notifications of Rocket Farm Restaurants required under this Agreement shall be directed to the Rocket Farm Restaurants Catering Department through the contact information identified in the BEO.

27. ASSIGNMENT Rocket Farm Restaurants may assign this Agreement and assign or sub-contract its rights and obligations under this Agreement without the consent of Client. Client may not assign this Agreement without the prior written consent of Rocket Farm Restaurants.
